These Terms of Service (“Terms”) govern your access to and use of BlackCBD.shop (the “Site”) and your purchase or use of products offered through the Site.

Throughout these Terms, “BlackCBD,” “we,” “us,” and “our” refer to the business operating BlackCBD.shop.

By accessing or using the Site, creating an account, or purchasing a product through the Site, you acknowledge that you have read, understood, and agree to these Terms.

If you do not agree to these Terms, you may not use the Site or purchase products through it.

1. Eligibility and Age Requirements

You must be at least 21 years of age to access this Site or purchase products from BlackCBD.

By accessing the Site or placing an order, you represent that you are at least 21 years old and legally permitted to purchase and possess the products ordered in the jurisdiction where you are located.

BlackCBD reserves the right to request age verification and to refuse or cancel an order if age or eligibility requirements cannot be verified.

2. Compliance With Applicable Laws

Our products are offered only where their sale, possession, shipment, and use are permitted by applicable law.

Laws concerning hemp-derived products, cannabinoids, inhalable products, and related products vary by jurisdiction and may change.

BlackCBD reserves the right to restrict sales or shipping to any state, territory, locality, or other jurisdiction when required by law, regulation, carrier restrictions, payment-processing requirements, or company policy.

3. Product Information

We make reasonable efforts to accurately describe and display products offered through the Site. Product packaging, appearance, specifications, ingredients, concentrations, availability, and other characteristics may change.

We do not warrant that product descriptions, photographs, pricing, or other Site content will always be completely accurate, current, or error-free.

We reserve the right to correct errors and update information without prior notice.

4. Orders and Acceptance

Submitting an order does not constitute our acceptance of that order.

BlackCBD reserves the right to accept, reject, limit, or cancel an order for legitimate business or legal reasons, including suspected fraud, incorrect pricing, product availability, age-verification issues, shipping restrictions, or applicable legal requirements.

If payment has already been collected for an order that we cancel, we will refund the applicable amount to the original payment method, subject to applicable law.

5. Prices and Payment

Prices displayed on the Site are stated in U.S. dollars unless otherwise indicated.

Applicable taxes, shipping charges, insurance, and other charges may be added at checkout.

We reserve the right to change prices at any time. A price change will not ordinarily affect an order that we have already accepted, except where correction is permitted by applicable law.

6. Shipping

Products are shipped only to locations we currently service and where shipment is permitted.

Shipping and delivery dates are estimates unless expressly guaranteed in writing.

BlackCBD is not responsible for delays caused by carriers, weather, governmental action, inaccurate customer information, events outside our reasonable control, or other circumstances for which liability cannot lawfully be imposed upon us.

Customers are responsible for providing complete and accurate shipping information.

7. Returns and Refunds

Return requests must be made within 30 days of the purchase or order date.

To qualify for a return, the product must be:

• Unopened; or
• Minimally used, meaning no more than 10% of the product has been removed or consumed; and
• Returned in its original packaging.

Approved returns are eligible for a refund of the product's purchase price.

Original shipping charges and shipping insurance are non-refundable, except where otherwise required by law.

Customers are responsible for return-shipping costs unless the product received was incorrect, damaged, defective, or applicable law requires otherwise.

BlackCBD reserves the right to inspect returned products and deny or reduce a refund where the product does not satisfy this policy, subject to applicable consumer-protection laws.

8. Discount and Promotional Codes

Discount and promotional codes must be entered as directed to receive the applicable offer.

Promotions may:

• Require a minimum purchase;
• Exclude certain products;
• Have expiration dates;
• Be limited to one use per person or household; and
• Be subject to additional terms disclosed with the promotion.

Unless otherwise stated, discount codes cannot be combined with other offers.

Shipping, taxes, and other charges may apply.

BlackCBD may modify or terminate promotions as permitted by applicable law. Changes will not retroactively alter completed purchases except where permitted by law.

9. Health and FDA Disclaimer

Statements made on this Site or in BlackCBD advertising, packaging, promotional materials, or other communications may not have been evaluated by the U.S. Food and Drug Administration (“FDA”).

10. Product Use and Safety

11. No Guarantee of Results

BlackCBD does not guarantee that any product will produce a particular physical, mental, wellness, athletic, sleep, relaxation, energy, focus, recovery, or other result.

17. User Submissions

If you voluntarily submit reviews, photographs, comments, suggestions, testimonials, or other content to BlackCBD, you represent that you have the right to provide that content.

To the extent permitted by law, you grant BlackCBD a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, adapt, and publish that content for legitimate business purposes, including operation and promotion of BlackCBD and its products.

This license does not override rights provided to you under applicable privacy or consumer-protection laws.

Personal information will be handled in accordance with our Privacy Policy.

The Site may contain links to websites, payment providers, social-media platforms, shipping companies, or other services operated by third parties.

BlackCBD does not control third-party services and is not responsible for their content, availability, privacy practices, security practices, or terms.

We do not guarantee that the Site will always be available, uninterrupted, secure, or free from errors.

We may modify, suspend, restrict, or discontinue all or part of the Site when reasonably necessary.

20. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

BLACKCBD DISCLAIMS WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

NOTHING IN THESE TERMS EXCLUDES WARRANTIES, RIGHTS, OR REMEDIES THAT CANNOT LAWFULLY BE DISCLAIMED UNDER APPLICABLE LAW.

21. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BLACKCBD AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE SITE OR PRODUCTS WHERE SUCH DAMAGES MAY LAWFULLY BE EXCLUDED.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, BLACKCBD'S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PRODUCT OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO BLACKCBD FOR THE PRODUCT OR TRANSACTION GIVING RISE TO THE CLAIM.

THESE LIMITATIONS DO NOT APPLY WHERE LIABILITY CANNOT LEGALLY BE LIMITED OR EXCLUDED.

Some jurisdictions do not permit certain limitations or exclusions. Accordingly, some portions of this section may not apply to you.

22. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless BlackCBD and its owners, officers, employees, contractors, affiliates, licensors, and service providers from third-party claims, liabilities, damages, and reasonable costs arising directly from your unlawful use of the Site, your material violation of these Terms, or your infringement of another person's rights.

This provision does not require you to indemnify BlackCBD for conduct for which indemnification cannot lawfully be required.

23. Dispute Resolution

Before commencing arbitration concerning a dispute arising from these Terms or your use of the Site, you and BlackCBD agree to make a good-faith attempt to resolve the dispute informally.

If the dispute cannot be resolved informally, the parties agree to attempt mediation before an independent mediator in Trenton, New Jersey, unless the parties mutually agree to another location or applicable law requires otherwise.

The parties will cooperate in selecting a mutually acceptable mediator. Unless otherwise agreed or required by law, the parties will share the mediator's fees equally.

If mediation does not resolve the dispute, the dispute may be submitted to final and binding arbitration administered by a mutually agreed-upon, established alternative dispute-resolution provider under the provider's applicable consumer arbitration rules.

Unless otherwise agreed or required by applicable law, arbitration will be conducted by one neutral arbitrator and will take place in Trenton, New Jersey.

If the parties cannot agree on an arbitration provider or arbitrator, either party may seek appointment or appropriate relief from a court of competent jurisdiction.

ARBITRATION GENERALLY MEANS THAT, FOR CLAIMS SUBJECT TO THIS ARBITRATION AGREEMENT, THE PARTIES GIVE UP THE RIGHT TO HAVE THOSE CLAIMS DECIDED BY A JUDGE OR JURY IN COURT.

Nothing in this section prevents either party from bringing an eligible individual action in small claims court or seeking temporary or preliminary judicial relief where permitted by applicable law.

Any arbitration requirement applies only to the extent permitted and enforceable under applicable law.

24. Individual Proceedings

To the extent permitted by applicable law and enforceable in the circumstances, disputes subject to arbitration will be conducted on an individual basis rather than as consolidated proceedings involving unrelated customers.

Nothing in this provision waives rights that applicable law does not permit a consumer to waive.

25. Governing Law

These Terms and disputes arising from them are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, except where federal law or another applicable law controls.

Applicable consumer-protection laws that cannot legally be waived remain applicable.

26. Court Jurisdiction and Venue

For disputes that are not required to be arbitrated, and subject to applicable laws governing consumer jurisdiction and venue, the parties consent to jurisdiction in the appropriate state or federal courts located in or serving Mercer County, New Jersey.

Nothing in this section prevents a consumer from asserting rights regarding jurisdiction or venue that cannot legally be waived.

27. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.

The remaining provisions will continue in effect.

28. No Waiver

Failure by BlackCBD to enforce a provision of these Terms does not constitute a waiver of that provision or BlackCBD's right to enforce it later.

29. Changes to These Terms

BlackCBD may update these Terms from time to time.

When material changes are made, we will update the effective date or otherwise provide notice when required by applicable law.

Changes will apply prospectively as required by law and will not eliminate rights or obligations that cannot legally be modified retroactively.

30. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies or terms expressly incorporated by reference, constitute the agreement between you and BlackCBD regarding your use of the Site and purchases made through it.

Product-specific terms or promotional terms may also apply to particular transactions.

Order Processing & Shipping Policy

At BlackCBD, we cannot wait to process your order within 24 hours! We strive to process and ship all orders as quickly and efficiently as possible because you deserve the best from us. However, certain circumstances, including federal holidays, scheduled vacations, and temporary business closures, may result in delays in order processing and shipment.

1. Federal Holiday Delays
BlackCBD observes federal holidays throughout the year. Orders placed during or immediately before a federal holiday may experience additional processing and shipping delays.
Orders are not guaranteed to be processed or shipped on federal holidays.
Orders placed during holiday closures will be processed on the next available business day.
Shipping carriers may experience additional delays due to holiday schedules.
Federal holidays are excluded from standard business-day processing estimates.

2. Vacation & Temporary Business Closures
BlackCBD reserves the right to temporarily suspend order processing and fulfillment during scheduled vacations, employee absences, or other temporary business closures.
During these periods:
Customers may continue placing orders through BlackCBD.shop.
Orders may not be processed, packaged, or shipped until normal business operations resume.
Orders will generally be fulfilled in the order they were received.
Processing times may be extended depending on the length of the closure and the volume of pending orders.
BlackCBD reserves the right to delay order fulfillment during scheduled vacations without prior individual notification to customers.

3. Order Processing & Shipping Estimates
All processing and shipping timeframes provided on BlackCBD.shop are estimates and are not guaranteed delivery dates.
Processing times may be extended due to federal holidays, vacations, staffing limitations, unexpected business closures, or circumstances beyond our reasonable control.
Shipping estimates provided by third-party carriers begin once the carrier receives the package and do not include BlackCBD's internal processing time.

4. Customer Notifications
Whenever reasonably possible, BlackCBD may post notices regarding anticipated shipping delays, vacation closures, or holiday schedules on its website, checkout pages, or through email communications.
However, BlackCBD is not obligated to provide individual advance notice of every temporary processing delay.
5. Order Cancellations
Customers wishing to cancel an order affected by an extended processing delay may contact BlackCBD at enjoy@blackcbd.store.
Cancellation requests will be reviewed in accordance with our cancellation and refund policies and applicable consumer protection laws.
Orders that have already shipped may not be eligible for cancellation.

6. Limitation of Liability
To the fullest extent permitted by applicable law, BlackCBD shall not be responsible for indirect, incidental, or consequential losses resulting from reasonable processing or shipping delays associated with federal holidays, scheduled vacations, temporary closures, or third-party carrier disruptions.
Nothing in this policy limits any rights or remedies customers may have under applicable law.
